Hellodesk Host Agreement

Thank you for using Hellodesk! The hellodesk.com website and the mobile app (collectively, the "Hellodesk Platform"), are owned and operated by Hellodesk. , Inc., When used in these Terms, “Hellodesk,” “we,” “us,” or “our”, we are referring to Hellodesk, Inc., a Delaware Corporation. The Hellodesk Platform offers an online service that enables users (“Users”) to publish, offer, search for, and book services. Users who publish and offer services are “Hosts” and Users who search for, book or use services are “Guests.” Hosts offer listings (“Listings”) on the Hellodesk Platform, which include offering offices, meeting rooms, and workspaces for booking by Guests. Listings can also include any service including but not limited to an online class, a private event, or an offer for a service. Together all host related services are referred as Host Services. If you are a Host, you are responsible for understanding and complying with all laws, rules, regulations, and contracts with third parties that apply to your Host Services. Appendix A at the end of this agreement describes the Host information (Name, Address of the Listing) and the pricing terms. This (“Host Agreement”) is a binding legal agreement between you as a Host and Hellodesk that govern your right to use the Hellodesk Platform. Subject to the terms and conditions of this Agreement, combined with the Guest agreement, online Terms of Service, Privacy Policy, Cancellation policy, and the Content rules & guidelines from Hellodesk, the Host agrees to accept the following terms -

Host Terms of Service

No Tenancy Requirements The Host agrees to consider guest bookings and memberships as an on-demand service and NOT a sublet or a property lease. No Residency Requirements The Host agrees to operate the Space as a non-residential facility. Using the location or offering your Guest members to establish a personal residence is not permitted. The Host hereby understands, agrees and warrants that they are not a residential host at the Space. Business Activity The Host must allow the use of the Space for business purposes only. Retail, medical or therapeutic uses involving frequent visits by public members are not permitted on the Platform. Contracting with Guests By accepting a booking request or receiving a booking confirmation through the Hellodesk platform, you enter into a contract with the guest who is agreeing to the Guest Agreement while making the booking or signing up for a membership. As a Host, you are responsible for providing your services as listed in your listing and at the agreed upon price. You are also required to pay any applicable fees, including Hellodesk's service fee and any applicable taxes, for each booking. These fees will be deducted from your payout unless we have agreed to a different payment method. If you include any additional terms, policies, or conditions in your contract with guests, they must be consistent with the Hellodesk terms and policies, as well as the information provided in your listing, and should be clearly disclosed in your listing description. Charges Host listings at Hellodesk are free of any upfront charges. Hellodesk makes money when our Hosts make money from the guest booking. Of all the booking revenues generated from the listings minus credit card transaction fees (2.9% + $0.30 from Stripe), the hosts receive a 70% portion of the revenue and Hellodesk keeps 30%. Host hereby agrees and accept the charges as specified in this agreement. Payouts Hellodesk payouts are monthly by check and are disbursed in the first week of the next month. Hellodesk may, on its own discretion, implement an online payment system on the Platform and initiate a direct deposit of the Host payout in electronic format. Guest Cancellation Policy At Hellodesk, we understand that unexpected events may arise that require a host to cancel a reservation. However, we also recognize that cancellations can be inconvenient and disruptive for guests. As a result, we have established a fair cancellation policy for the adoption by the Host for listings on the Hellodesk Platform. Visit this at the cancellation policy section. Marketing and Branding Hellodesk Platfrom acts as a marketing front-end for all the Hosts that gets bookings and memberships via the platform. The Host hereby agrees to let Hellodesk market the Space on internet properties such as social media, Google local business, Yelp etc with Hellodesk branding to generate business for the host. Fair Platform Usage Hellodesk exists to make our Hosts successful and to make this happen, Hellodesk makes considerable investment in marketing the Host Spaces across the zip code and on the internet and depends on the percentage cut it receives from the bookings and memberships. The Host hereby agrees to take all bookings and memberships for the Space via Hellodesk online platform and not deal with the Guests offline. Insurance The Host must carry general liability insurance for their own Space and property. Guests are strongly suggested to carry a renters Insurance policy to cover their own equipment while using the Space. Term and Termination This Agreement commences on the Start Date and continues until canceled by either party. Either party may terminate this Agreement upon five business days of written notice. Changes Hellodesk offers this Agreement to facilitate our Hosts list with us with ease. Hellodesk reserves the right, at its sole discretion, to modify or replace any part of this Agreement. Your continued use of the Hellodesk Platform constitutes acceptance of those changes. Disclaimer of Warranties The Website is provided “as is”. Hellodesk and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither Hellodesk nor its suppliers and licensors, makes any warranty that the Website will be error free or that access thereto will be continuous or uninterrupted. You understand that you download from, or otherwise obtain content or services through, the Website at your own discretion and risk. Limitation of Liability In no event will Hellodesk, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement or substitute products or services; (iii) for interruption of use or loss or corruption of data; or (iv) for any amounts that exceed the fees paid by you to Hellodesk under this agreement during the twelve (12) month period prior to the cause of action. Hellodesk shall have no liability for any failure or delay due to matters beyond their reasonable control. The foregoing shall not apply to the extent prohibited by applicable law. Indemnification You agree to indemnify and hold harmless Hellodesk, its contractors, and its licensors, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys fees, arising out of your use of the Website, including but not limited to out of your violation this Agreement. Host recommendations To help create a comfortable, reliable, and productive experience for Hellodesk guests, we ask all Hosts to meet these requirements for each of their listings:
  • Be responsive: Keep your response rate high by replying to inquiries and trip requests within 24 hours.
  • Avoid canceling on guests: Once a listing is live, try avoiding canceling the reservations once it is confirmed. Most guests are on a clock while deciding to use a conference room or an office.
  • Maintain a high overall rating: Guests expect a consistent level of quality, no matter where they book. The checking experience you provide them goes a long way in securing a high review rating from our guests. Host agrees to maintain a high level of quality and cleanliness at the Space.
  • Essential amenities: For a productive work experience, we have discovered that our guests do well if they have access to a clean office, conference room or a desk with a good chair, high-speed wifi and coffee. We strongly encourage our hosts to provide these essential amenities in all your locations.
  • Consistent branding: When members visit a Hellodesk Host Space, they expect consistency of the brand. To facilitate this, Hellodesk may provide some branding material such as stickers, coasters or flyers to the Host in paper or electronic format. We strongly recommended to the Hosts to make use of these materials to provide a pleasant and consistent experience to the guests for repeat booking.
In addition to above, providing access to normal expected utilities in the office such as restroons, essential kitchen items such as a microwave, fridge and water and routine office supplies goes a long way to make Guests' day productive. That is it for this agreement. Below appendix (Appendix A) shows you the Host information who is the party to this agreement.
